This is also known as a non-disclosure agreement, a legal document specifying what sensitive information can be disclosed and to whom, during business discussions between two parties. A confidentiality agreement makes it very clear that what you are disclosing is confidential. It acts as a deterrent to a party unfairly exploiting the information. It says to the recipient of the information, "this is valuable". Taking action against unauthorised use is much easier if an agreement is in place.
