Memorandum of Understanding

When discussing setting up a business one gets to the point where the founding shareholders of a company will need to write what the objectives of the business are to be and what everyone is required to contribute. A Memorandum of Understanding is commonly used for this purpose.

This will cover:

• Shareholdings
• Transfer of shares
• Confidentiality
• Board structure
• Restrictive covenants

This is the first stage leading to a Shareholders Agreement. This document can be legally binding or the parties can choose that it will not be for the present moment.
