A trade mark is an asset and like any other asset it can be bought and sold. This licence will grant a third party permission to use your trade mark providing you get a royalty or consideration in some form. This needs to be stipulated and details need to be made clear.
Someone else using your trade mark, or a similar trade mark, without your permission could be infringing your rights. The consumer may be confused and the other company may be unfairly profiting from your reputation. In such circumstances you are entitled to compensation, but it might be more beneficial for you to give them a trade mark licence in return for royalty payments.
